Introduction and Acceptance

These Terms and Conditions ("Terms") govern access to and use of the Uppreneur website and the services provided by Uppreneur ("Uppreneur", "we", "us" or "our").

Our services may include PropTech and real estate lead generation, lead qualification, digital marketing, search engine optimisation (SEO), social media marketing, content creation, sales training and related consulting or business support.

By accessing our website, submitting an enquiry or entering into a service engagement, you agree to the terms applicable to that activity. A signed proposal, service agreement, statement of work or other mutually accepted written arrangement may establish additional terms for a particular engagement.

If you do not agree to these Terms, please discontinue use of the relevant website features or services.

02

Definitions

For these Terms:

Client
means an individual or organisation that engages Uppreneur for services.
Services
means the services expressly described in an accepted proposal or agreement.
Deliverables
means agreed outputs, including reports, campaign assets, content, training materials or other work products.
Leads or Enquiries
means prospect information generated, received, organised or qualified through an agreed process.
Campaign Budget
means advertising expenditure or other third-party costs approved separately from Uppreneur's professional fees.
Agreement
means these Terms together with any applicable accepted proposal, statement of work or signed service contract.
03

Our Services and Scope of Work

Uppreneur will provide the services expressly described in the applicable proposal or agreement.

Depending on the engagement, the scope may specify:

  • The services, deliverables and exclusions.
  • Project milestones and estimated timelines.
  • Lead-generation criteria and qualification definitions.
  • Training modules, sessions and participant requirements.
  • Fees, payment milestones and approved third-party expenses.
  • Reporting frequency, review arrangements and acceptance criteria.

Any material change to the agreed scope, campaign objectives, deliverables or timeline should be documented and mutually approved. Additional work may require additional fees.

We will make reasonable professional efforts to deliver the agreed services with appropriate care and skill. We will communicate material changes, delays or dependencies that reasonably come to our attention.

04

PropTech and Real Estate Lead Generation

Where our engagement includes real estate lead generation or qualification:

  1. 1The parties should agree on the target audience, geography, property category, budget range, qualification questions and delivery format.
  2. 2Uppreneur will use reasonable efforts to generate or identify enquiries consistent with the agreed criteria and campaign scope.
  3. 3A lead may represent a person who has expressed interest, submitted information or otherwise met the agreed qualification criteria. Qualification does not establish a guaranteed intention or ability to purchase, book, rent or invest.
  4. 4Unless expressly agreed in writing, Uppreneur does not guarantee a fixed number of leads, exclusive leads, a particular cost per lead, site visits, bookings, sales, revenue or conversion rate.
  5. 5The client is responsible for timely follow-up, accurate project information, availability of inventory, pricing, sales-team performance, site-visit arrangements and transaction completion.
  6. 6The client should review delivered leads within the agreed verification period and provide specific, evidence-based feedback on any lead alleged to be invalid or outside the agreed criteria.
  7. 7Where a lead genuinely fails an expressly agreed validity criterion, the parties will follow the agreed replacement, credit or remediation process. If no such process has been agreed, the parties will discuss a reasonable resolution in good faith.

A lead-generation service is not, by itself, a guarantee of a completed property transaction or investment return.

05

Digital Marketing Services

SEO, social media marketing, content creation and other digital marketing services depend on factors that may include competition, platform algorithms, audience behaviour, website quality, budgets and client approvals.

Uppreneur will perform the agreed work and provide the deliverables specified in the relevant engagement. However, unless expressly guaranteed in a written agreement, we do not guarantee specific search rankings, impressions, reach, engagement, leads, advertising costs, sales or revenue.

The client is responsible for providing accurate business information, approving content and advertising materials, maintaining required permissions and ensuring that its products, services, claims and offers comply with applicable law.

Advertising spend, platform charges, third-party software, production expenses and other external costs are separate from professional fees unless the proposal explicitly states otherwise.

We will not commit the client's funds to an unapproved material increase in advertising expenditure.

06

Sales Training Services

Sales training may include workshops, coaching, sales scripts, role-play exercises, objection-handling techniques, process guidance and learning materials, as specified in the proposal.

The client is responsible for participant attendance, engagement, implementation and follow-through after training.

Training is intended to improve knowledge, skills and sales practices. Actual business results depend on multiple factors, including employee participation, management support, product-market fit, pricing, demand and execution.

Unless expressly agreed in writing, Uppreneur does not guarantee employee performance, individual sales figures, placements, promotions or specific revenue outcomes.

Rescheduling, cancellations, participant substitutions and any associated fees will be governed by the accepted proposal or training agreement.

07

Client Responsibilities

To enable effective delivery, the client agrees to:

  • Provide accurate, complete and timely information, instructions and approvals.
  • Identify an authorised point of contact for decisions and feedback.
  • Supply necessary access, materials, permissions and project information.
  • Review deliverables within agreed timeframes.
  • Pay fees and approved expenses when due.
  • Ensure that supplied content, customer data, contact lists and business claims may lawfully be used for the intended purpose.
  • Comply with applicable laws, advertising requirements, platform rules and data-protection obligations.
  • Avoid asking Uppreneur to use misleading, unlawful or unauthorised marketing practices.

Delays caused by missing information, late approvals, restricted platform access or other client-side dependencies may affect the delivery timeline. Where possible, we will communicate the impact and agree on revised milestones.

08

Fees, Payments and Taxes

The fees, payment schedule, applicable taxes and approved expenses will be specified in the accepted proposal or agreement.

Unless otherwise agreed in writing:

  1. 1Work may commence after the agreed initial payment and receipt of necessary information or approvals.
  2. 2Invoices are payable within the payment period stated on the invoice or accepted agreement.
  3. 3GST and other applicable taxes will be charged as required by law.
  4. 4Advertising budgets and third-party costs are separate from professional fees unless explicitly included.
  5. 5The client should raise a genuine invoice dispute promptly, identify the disputed amount and explain the basis of the dispute. Undisputed amounts remain payable when due.
  6. 6If payment becomes overdue, Uppreneur may issue written notice and a reasonable opportunity to remedy the delay before suspending affected services, subject to the agreement and applicable law.
  7. 7Any interest, late fee or collection expense must be expressly agreed where required and permitted by law.

Both parties should maintain appropriate invoices, receipts and payment records.

09

Refunds, Cancellations and Service Remediation

We aim to resolve service concerns fairly and constructively.

Fees for work already performed, approved third-party expenditure already committed and completed milestones may be non-refundable to the extent permitted by law and disclosed in the accepted agreement.

Where services have not commenced or a material portion of the agreed work remains undelivered, any refund or adjustment will be assessed against the work completed, expenses reasonably incurred, applicable cancellation terms and legal requirements.

If Uppreneur materially fails to deliver an agreed deliverable, the client should notify us in writing with reasonable details and allow a reasonable opportunity to correct the issue or propose an appropriate remedy.

For a substantiated failure, the parties may agree on re-performance, a credit, an adjusted scope, a proportionate refund or another reasonable resolution.

No provision in these Terms excludes a refund, remedy or right that cannot lawfully be excluded.

10

Intellectual Property and Usage Rights

Each party retains ownership of its pre-existing intellectual property, brand assets, confidential materials, methods and proprietary tools.

Subject to full payment of the applicable fees and any specific agreement, the client will receive the usage rights to the final deliverables expressly assigned or licensed to it under the engagement.

Unless otherwise agreed, Uppreneur retains ownership of its pre-existing templates, frameworks, methodologies, reusable know-how, internal processes and general skills.

Third-party assets, fonts, stock media, software, advertising platforms and other licensed materials remain subject to their respective licence terms.

Neither party may use the other party's trademarks, logos or confidential materials for unrelated purposes without permission. Portfolio or case-study use involving an identifiable client requires appropriate authorisation.

11

Confidentiality

Each party may receive non-public business, financial, customer, operational or strategic information from the other.

Each party agrees to:

  • Use confidential information only for the agreed business purpose.
  • Protect it using reasonable safeguards.
  • Limit access to people who need it for the engagement and are subject to appropriate confidentiality obligations.
  • Not disclose it to unauthorised persons except where legally required or otherwise lawfully permitted.

Confidentiality obligations do not ordinarily cover information that becomes public without breach, was lawfully known beforehand, is independently developed or is lawfully received from another source without a duty of confidentiality.

Where disclosure is legally required, the receiving party will provide notice where legally permitted and reasonably practicable.

12

Data Protection and Lead Ownership

Both parties will comply with applicable data-protection and privacy laws in connection with personal information handled during the engagement.

Each party must use personal data only for authorised purposes, maintain appropriate safeguards and avoid unlawful disclosure, resale, misuse or unauthorised contact.

The parties should agree in writing on the permitted uses, access, retention, deletion and transfer of leads and customer data, including the respective responsibilities of Uppreneur and the client.

Unless the service agreement states otherwise, Uppreneur's delivery of lead information does not grant an unrestricted right to resell, publish or use that information for unrelated purposes.

Nothing in this clause transfers ownership of a party's pre-existing intellectual property or removes the rights that individuals have under applicable data-protection law.

13

Third-Party Platforms and Dependencies

Services may depend on third-party platforms, advertising networks, social media accounts, hosting providers, software, telecom providers or other external services.

Uppreneur does not control independent third-party decisions, outages, policy changes, account restrictions, algorithm updates or pricing changes.

We will take reasonable steps within the agreed scope to identify and communicate material issues affecting delivery. Neither party is responsible for a third party's independent acts or failures merely because the party uses that third party, subject to applicable law and any specific contractual undertaking.

14

Representations and Reasonable Expectations

Each party represents that it has the authority to enter into the applicable agreement and will act in good faith in fulfilling its responsibilities.

Uppreneur will not knowingly misrepresent the scope of its services or present an estimate as a guaranteed result unless the guarantee is expressly set out in writing.

The client acknowledges that marketing and sales performance involves variables beyond Uppreneur's reasonable control.

Nothing in this section excuses either party from fulfilling an express contractual obligation or from liability for a breach of contract.

15

Limitation of Liability

To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential losses that were not reasonably foreseeable when the agreement was entered into.

For a particular engagement, the parties may agree in writing to a reasonable aggregate liability cap that reflects the contract value, risks and available remedies.

Any such cap will be subject to applicable law and will not exclude or restrict liability where such exclusion or restriction is prohibited, including liability for fraud or wilful misconduct where applicable.

Neither party is released from its express obligations merely because a limitation-of-liability clause applies.

16

Indemnity and Third-Party Claims

Each party will be responsible, to the extent provided by applicable law, for third-party claims arising from its own unlawful conduct, infringement, material breach of the agreement or unauthorised use of another party's materials or personal data.

A party seeking indemnification should promptly notify the other party of the claim, provide reasonable cooperation and avoid agreeing to a settlement that imposes obligations on the other party without its consent.

The parties will act reasonably to minimise avoidable losses. No indemnity applies to the extent a claim results from the indemnified party's own conduct or from circumstances for which the indemnifying party is not legally responsible.

17

Suspension and Termination

Either party may terminate an engagement in accordance with the notice period and termination rights stated in the applicable agreement.

Where no termination procedure has been specified, either party may give reasonable written notice, subject to any committed project milestones, non-cancellable third-party costs and applicable legal obligations.

Where a material breach occurs, the affected party should generally provide written notice and a reasonable opportunity to remedy it, unless immediate suspension or termination is justified by law, security concerns, serious misconduct or the nature of the breach.

On termination:

  • The client will pay undisputed amounts due for work completed and approved commitments incurred up to the effective termination date.
  • Uppreneur will provide completed, paid-for deliverables in accordance with the agreement.
  • Each party will return, delete or securely dispose of confidential information and personal data where required, subject to lawful retention requirements.
  • Any surviving confidentiality, intellectual property, payment or other continuing obligations will remain in effect according to their terms.
18

Force Majeure

Neither party will be liable for a delay caused by an event beyond its reasonable control, such as a natural disaster, major outage, government restriction, war or widespread disruption, provided the affected party takes reasonable steps to mitigate the impact and informs the other party when reasonably practicable.

If the disruption continues for an extended period, the parties will discuss a fair adjustment, suspension or termination of the affected engagement.

Amounts due for services already performed and approved non-recoverable expenses remain subject to the agreement and applicable law.

19

Dispute Resolution

The parties will first attempt to resolve any disagreement through good-faith discussions between their authorised representatives.

A party raising a dispute should provide written details of the issue and the remedy sought. The parties should make a reasonable effort to resolve it within 30 days, or another mutually agreed period.

If the dispute remains unresolved, either party may pursue the remedies available under applicable law before the competent courts or through another dispute-resolution mechanism mutually agreed in writing.

Nothing in this clause prevents either party from seeking urgent legal relief where appropriate.

20

Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to applicable law and any valid dispute-resolution agreement, the competent courts at Bengaluru, Karnataka, shall have jurisdiction over disputes arising from these Terms.

21

Changes to These Terms

We may revise these Terms to reflect changes in our services, business operations or legal obligations.

The latest version will be published on this page with its updated date. Changes will apply prospectively to website use, subject to applicable law and the terms of existing agreements.

Material changes to an existing client engagement will be handled through the applicable contract and, where necessary, mutual written agreement.
